Terms and Conditions

1.0 Acceptance of Terms

Welcome to Axiora Smart POS, a web-based point-of-sale application published and operated by Axiora Labs ("Axiora Labs," "we," "us," "our"). By accessing or using the Axiora Smart POS system, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to all the terms and conditions, please do not use the system.

2.0 About Axiora Smart POS

Axiora Smart POS is a digital, offline-capable management system designed for businesses such as grocery stores, restaurants, clothing stores, and pharmacies within Sri Lanka. It provides tools for point of sale, inventory management, customer relationship management (CRM), and financial tracking. It is operated as a project of Axiora Labs (Pvt) Ltd.

3.0 Use of the System

You may access and use Axiora Smart POS for your internal business operations. You agree not to:

• Copy, modify, or create derivative works of the software or its user interface.
• Reverse-engineer, decompile, interfere with, or attempt unauthorized access to the system, its servers, or its underlying databases.
• Use the system for any unlawful purpose under Sri Lankan law.
• Resell, lease, or sub-license the software to third parties without explicit written consent from Axiora Labs.

4.0 Account Responsibilities

As a business owner or administrator, you are responsible for maintaining the confidentiality of your account credentials. You are fully responsible for all activities that occur under your shop's account, including the actions of cashiers, managers, or any other staff members you authorize to use the system.

5.0 Intellectual Property

All software, code, graphics, logos, and design elements within the Axiora Smart POS system are the exclusive property of Axiora Labs and are protected by applicable intellectual property laws. Use of the system does not grant you ownership of any intellectual property rights in our software.

6.0 Pricing and Payment Terms

• All subscription fees for Axiora Smart POS are listed and processed in Sri Lankan Rupees (LKR).
• Payments are securely processed via our authorized third-party payment gateway, PayHere.
• You agree to provide current, complete, and accurate billing information.
• By subscribing the package, you authorize us to charge the applicable fees to your chosen payment method through PayHere.

7.0 Refund and Cancellation Policy

• Subscription fees are non-refundable once processed.
• You may cancel your subscription at any time through your account settings or by contacting our support team.
• Cancellation will prevent future automated billing, but no prorated refunds will be issued for the remainder of the active billing cycle.

8.0 Delivery and Fulfillment Policy

• Axiora Smart POS is a digital, web-based application.
• Upon successful payment of the subscription fee, your account access and features will be activated automatically and immediately.
• No physical goods will be shipped or delivered.

9.0 System Uptime and Offline Mode

While Axiora Smart POS features an "Offline-First" architecture that allows for continued sales processing without an internet connection, you acknowledge that cloud synchronization and certain administrative features require an active internet connection. We strive for maximum uptime but do not guarantee that the cloud servers will be error-free or uninterrupted.

10.0 Limitation of Liability

To the fullest extent permitted by law, Axiora Labs will not be liable for any indirect, incidental, or consequential damages arising from your use of the system, including but not limited to loss of data, loss of profits, inventory discrepancies, or business interruptions.

11.0 Indemnification

You agree to indemnify and hold harmless Axiora Labs and its affiliates from any claims, damages, or expenses arising from your misuse of the system, violation of these Terms, or disputes between you and your customers.

12.0 Termination

We may suspend or terminate your access to Axiora Smart POS at any time, for any reason, including failure to pay subscription fees or violation of these Terms.

13.0 Governing Law

These Terms are governed strictly by the laws of Sri Lanka, without regard to conflict-of-law principles. Any disputes will be subject to the exclusive jurisdiction of the courts of Colombo, Sri Lanka.
